Rules governing use of our website and purchase of our Services
Last updated: May 2, 2026
These Terms & Conditions (“Terms”) govern your access to the website operated by Techify Aura LLC, a Wyoming limited liability company (“Techify Aura,” “we,” “us,” or “our”), and any order for professional services, consulting, AI-related implementation, or related offerings (collectively, “Services”). By using our website or placing an order, you (“you,” “your,” or “Client”) agree to these Terms.
1. Company information
Legal name: Techify Aura LLC
Jurisdiction: Wyoming, United States
Contact: [email protected] · +1 (737) 285-0122
2. Services and orders
Descriptions on our website are illustrative. The binding scope, deliverables, fees, and timeline are set out in an order form, proposal, or statement of work (“SOW”) signed or accepted by you. We may decline or cancel orders in case of error, fraud risk, or inability to meet requirements.
3. Fees and payment
- Prices are in U.S. dollars (USD) unless otherwise stated.
- You authorize us (and our payment processors) to charge the payment method you provide for agreed fees, taxes, and pass-through costs.
- Late payments: We may suspend work after notice if an invoice is materially overdue.
- Taxes: You are responsible for applicable taxes unless we state we are collecting them.
4. Client responsibilities
You will provide timely access, materials, approvals, and accurate information needed to perform the Services. Delays on your side may extend timelines and may incur additional fees if scope or effort increases.
5. Intellectual property
Unless the SOW says otherwise: (a) we retain ownership of our pre-existing tools, methods, and generic components; (b) upon full payment, you receive the rights to deliverables expressly assigned in the SOW. You grant us a license to use your marks and materials as needed to perform the Services.
6. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only for the engagement, subject to standard exceptions (e.g., public domain, legal requirement).
7. Warranties disclaimer
Except as expressly written in a SOW, Services are provided “as is” to the maximum extent permitted by law. We do not guarantee uninterrupted operation of third-party APIs, models, or cloud platforms. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.
8. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of these Terms or the Services will not exceed the fees you paid to us for the Services giving rise to the claim in the twelve (12) months before the claim (or, if less, the project fee). We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill.
9. Indemnity
You will defend and indemnify us against claims arising from your content, your instructions, or your violation of these Terms or applicable law—except to the extent finally awarded against us due to our willful misconduct.
10. Term and termination
Either party may terminate for material breach if the other party fails to cure within thirty (30) days of written notice (or immediately for non-payment if stated in the SOW). Provisions that by nature survive (fees owed, IP, liability limits, governing law) will survive.
11. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for disputes not subject to arbitration (if any arbitration clause is added in your SOW).
12. Refunds
Refund rules are set out in our Refund Policy, incorporated by reference.
13. Privacy
Our collection and use of personal data is described in our Privacy Policy.
14. Changes
We may update these Terms by posting a new “Last updated” date. Material changes for ongoing engagements will be communicated where appropriate. Continued use of the website or new orders after changes constitutes acceptance.
15. Electronic communications
You consent to receive notices and agreements electronically. You may withdraw consent where the law requires a non-electronic channel.
